ACKNOWLEDGEMENT

Each of us agree to hold confidential all confidential information of the other party or other third-party participants in the below-mentioned test event that becomes available through the 6th TAHI IPv6 Interoperability Test Event.

When each of us will be required to disclose such information to any third party, we agree to consult with each other in advance and obtain the consent of the other party, except for the Participant's rights to disclose such information to its employer or its employer's employees having a need to know.  The confidentiality obligations contained herein shall continue for one(1) year from the receipt of such information.  As a material inducement to the Particpant to agree with this Acknowledgement, the TAHI Project shall cause other participants in the Test Event to comply with substantially similar confidentiality obligations by executing written agreements with those participants for protecting the Participant's confidential information.

Notwithstanding the foregoing, the confidentiality obligations contained herein shall not apply to the following information:

(1)  which is at any time in the public knowledge otherwise than through act or failure to act on the part of the receiving party;

(2) which was known to the receiving party before its receipt thereof from the disclosing party, without obligations of confidentiality;

(3) which is at any time rightfully received by the receiving party from any third party without obligations of confidentiality; or,

(4) which is at any time developed by Receiving Party independently of Confidential Information received from Disclosing Party.
